General Member Meeting at 9:45 am Saturday, November 19…Courtside
Immediately following the photo shoot we will all assemble for the last General Membership Meeting of the year. If you have an issue you would like to have aired, send an email to firstname.lastname@example.org. Please come to the meeting prepared to answer following questions about your issue:
NOTICE of PROPOSAL to AMEND AN EXISTING BYLAW
- any Cost issues? Club? HOA?
- effect on court times, usage?
- effect on HOA BOD relations?
- effect on club morale?
- are you willing to actively lead a project team on this subject?
- one issue per person, please.
Rick Sturges has proposed an amendment to Article III, Section A of the bylaws. His proposed amendment would remove the mandatory tie-breaking vote of the past President and make it optional at the discretion of the incoming President. Pursuant to Article VIII, Section B an online ballot will be sent to each member within 15 days.
Your Pickleball Board strongly opposes this amendment and encourages you to vote NO.
CURRENT BYLAW: Article III Section A
Officers are the President, Vice President, Secretary, and Treasurer. An outgoing President serves in an advisory capacity to the Board (with no voting rights unless a tie needs to be broken) for the two years after his/her two-year term expires (unless he/she is re-elected to the position for another two-year term). Officers are to be elected by a majority vote of the Club’s membership, which vote may be taken online during the first two (2) weeks of December. This election is to be considered the last meeting of the year. The officers and outgoing Presidents serve without compensation
PROPOSED CHANGE: ( in bold)
Insert the phrase : “If requested by the incoming President,” at the beginning of the second sentence.
BYLAW AS IT WILL BE READ IF THE AMENDMENT IS ADOPTED:

RICK’S RATIONALE FOR THE PROPOSED AMENDMENT
“Embracing an outgoing President is very useful if the incoming President believes the outgoing President has provided intellectual leadership has positive linkage with the existing club and board members, as well as the WBV HOA. The incoming President should have the option to leverage the existing President or not to do so. That decision should be made in writing and recorded at the first Board meeting of the year, by the incoming President.”
Your board strongly urges you to vote NO on this proposal for three reasons:
In short…. its not broken, so why attempt to “fix” it, especially since it will create no alternative tie-breaking mechanism?......VOTE NO.
- Good Governance requires bylaws to provide for a mandatory tie-breaking mechanism for voting on Club business. No such tie breaking procedure will exist if this amendment is adopted.
- Westbrook PB Club bylaws were based on bylaws of Sun City Grand and Sun City West Pickleball Clubs back when formed, both of which required the Past President to cast any necessary tie-breaking vote. Both Clubs have subsequently adjusted their bylaws to provide for an odd number of Board members which eliminates the need for a tie breaker.
- In the entire existence of our Club there has never been one occasion which required a past-President to cast a tie-breaking vote.
